Terms of Service

These Terms are the agreement between you and SQARME PRIVATE LIMITED for your use of SQARME CMD. SQARME CMD is software only — it automates your own Binance P2P account using your own API keys. We never hold, control or have access to your funds or crypto. Please read these Terms together with our Privacy Policy, Refund & Cancellation Policy, AML / KYC Policy and Risk Disclaimer.

01About these Terms & who we are

These Terms of Service (the "Terms") govern your access to and use of SQARME CMD (the "Service"), a managed software product provided by SQARME PRIVATE LIMITED ("SQARME", "we", "us" or "our"), a company incorporated in India.

"Service" means SQARME CMD as offered at sqarme.com, cmd.sqarme.com and trial.sqarme.com, including the command deck, the per-merchant trading engine, the SQARME CMD mobile application, and any related pages, tools and communications. "You" means the individual or business that registers for or uses the Service.

By accessing or using the Service you accept these Terms. If you are using the Service on behalf of a business or other entity, you represent that you are authorised to bind that entity to these Terms.

02Eligibility

To use the Service, you must:

  • be at least 18 years old and have the legal capacity to enter into a binding contract under applicable law;
  • hold your own valid Binance account with P2P / merchant access and your own Binance API key and secret;
  • use the Service only for lawful purposes and in compliance with all laws and regulations that apply to you, including those of India;
  • not be a person or entity barred from receiving the Service under any applicable sanctions, export-control or trade-restriction regime, and not be located in or accessing the Service from a jurisdiction where such use is prohibited.

We may refuse, suspend or terminate access where we reasonably believe an eligibility requirement is not met.

03What the Service is and is NOT

The Service is software that helps you operate and automate your own Binance P2P (INR/USDT) account using your own Binance API keys. All trades execute on your own Binance account. Funds and crypto move between your counterparties and your own Binance wallet, bank account or UPI — never through us.

SQARME is non-custodial. We never hold, custody, control, transmit or have access to your crypto or fiat. We do not take possession of your assets at any point.

Some automation features may also, strictly on the configuration you set, interact with other parts of your own Binance account — including your Spot wallet, the Binance Convert API, and transfers between your own Binance wallets (for example Funding to Spot) — to manage non-USDT balances that result from your trading. The Service also maintains an internal ledger of the accounts you configure and can record, split or route your sale proceeds across your bank, UPI, eRupee and merchant accounts (for example post-sale splits and auto-load / auto-redeem rules, with transfer reminders). These ledgers, balances and routing rules are an internal book-keeping record only: SQARME never initiates, executes, settles or has access to any actual movement of fiat between your accounts — every real bank, UPI or eRupee transfer is carried out by you or your bank.

Some features (such as Auto Pilot and Competition Mode) automate actions on your account, including repricing your own advertisements and releasing crypto. When you enable and configure them, the Service acts only on your instructions and settings — it does not exercise its own discretion over your trades, your prices or your assets. How that authorisation works is set out in Section 4, and the associated risks are explained in our Risk Disclaimer.

To operate its repricing and market-intelligence features, the Service reads publicly available Binance market and merchant data (such as competing advertisements, prices and public profiles). Its pricing automation optimises within the limits you set based on overall market and network conditions, and in some conditions may match the price of certain participants rather than always undercutting them; it therefore does not guarantee the most aggressive or best available price.

The Service is NOT, and SQARME does not act as:

  • an exchange, broker, dealer, or trading venue;
  • a wallet, custodian, or custody provider;
  • a payment system, payment aggregator, payment gateway, or money-services business;
  • a virtual asset service provider (VASP) or a counterparty to your trades.

SQARME does not provide any financial, investment, trading, tax, legal or accounting advice, and nothing in the Service is a recommendation to buy, sell or hold any asset. You are solely responsible for your trading decisions and their outcomes. See our Risk Disclaimer.

04Your account, credentials & API keys

To use the Service you provide your own Binance API key and secret. During onboarding your keys are validated live against Binance; the control plane uses your API secret in memory only to validate it and then discards it — the secret is never stored by the control plane. On first login to your engine, your Binance keys are encrypted on your own engine using a key derived from a master password that only you know. How we handle this data is described in our Privacy Policy.

You are responsible for setting and safeguarding your master password, your TOTP two-factor secret, and any optional fund password, and for keeping your Binance credentials secure. You must keep these confidential and not share them.

We cannot recover your funds, your Binance keys, or your master password. Because the Service is non-custodial and your keys are encrypted with a key derived from your master password, if you lose your master password we cannot decrypt your stored keys for you. Keep your credentials safe.

You are responsible for all activity that occurs under your account and on your engine. Notify us promptly at care@sqarme.com if you suspect any unauthorised access or security incident.

Automated actions you authorise. If you enable and configure any automation feature, you expressly authorise and instruct the Service to act on your behalf — automatically and without asking you to confirm each individual action — including repricing your own buy and sell advertisements within the limits and bands you set, verifying a counterparty's payment against the checks you configure, sending order-related chat messages, and releasing crypto to a counterparty once the conditions you have set are met. The Service executes these standing instructions as your automated tool acting on your behalf; it does not exercise independent discretion over whether to release assets or change your prices. Every action taken by your automation is deemed to be authorised by you and performed on your behalf, and you are responsible for it as if you had carried it out yourself. You may change your settings or switch automation off at any time, and it is your responsibility to keep them appropriate for current conditions.

Access tokens and pay links. The Service may give you tokenised links — for example a mobile pay-page link and Telegram tap-to-pay buttons — that let you mark your orders as paid or cancelled from your phone. Anyone who obtains such a link can mark the corresponding orders paid or cancelled, so you must keep these links and tokens secret and treat them like a password, and tell us promptly if one is exposed. The routing cookie that directs you to your engine carries only your username and grants no access by itself; your master-password and TOTP login remain the security gate.

05Subscriptions, fees & taxes

The Service is offered on subscription plans. Each plan has a one-time activation fee plus a monthly maintenance fee. Current plans and prices are listed on our Plans page.

Fees are paid by UPI using a QR code shown at signup. There is no card processor and we do not collect or store card data. Your engine is provisioned and activated only after a mandatory manual review and approval by the SQARME team (carried out over Telegram).

All prices are inclusive of Goods and Services Tax (GST). Your tax invoice shows the GST break-up at the applicable rate (currently 18%). Monthly maintenance is prepaid. You authorise us to charge the recurring monthly maintenance fee for as long as your subscription remains active.

Usage allowances. Plans include monthly usage allowances for certain features (for example designed QRs, automated releases, receipt verifications and merchant lookups), as listed on the Plans page. Allowances reset at the start of each billing month, do not roll over, and do not convert to credit or cash. Limits are enforced as hard caps unless stated otherwise. Allowances are provided for your own bona fide merchant desk; scripted, bulk or otherwise abnormal usage inconsistent with ordinary desk operation may be throttled, and repeated abuse may be treated as a breach of these Terms.

Changes to fees, allowances and plans. We may revise monthly maintenance fees, usage allowances or the features included in a plan. For existing subscribers, a revision that increases your fees or materially reduces your plan takes effect no earlier than 30 days after we notify you (by email, Telegram or in-dashboard notice) and applies from your next billing cycle. If you do not agree, you may cancel before the revision takes effect; continued use after that date constitutes acceptance.

Promotional pricing. We may run limited promotional offers — for example, a founding-merchant discount on the Enterprise activation fee for the first 25 activations. Promotional prices apply only as described in the offer and while it lasts; the list price applies thereafter. Refunds, where applicable under our Refund & Cancellation Policy, are always calculated on the amounts you actually paid.

06Refunds & cancellation

The one-time activation fee is non-refundable once your engine has been provisioned. Monthly maintenance is prepaid and non-refundable, except for the limited "unused month" credit described in our policy. You may cancel at any time to stop future months; cancellation takes effect from the next billing cycle, and there is no lock-in.

07Acceptable use

You agree to use the Service lawfully and responsibly. You must not:

  • use the Service for any illegal, fraudulent, deceptive, abusive or harmful purpose, or to facilitate money laundering, terrorist financing, or any sanctioned or prohibited activity;
  • breach the terms of any third-party service you connect to, including the Binance Terms of Use and any applicable Telegram or Google terms;
  • violate any applicable law or regulation, including RBI / FEMA rules, the Prevention of Money-Laundering Act, 2002 (PMLA), and applicable tax laws;
  • copy, modify, reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service, except to the extent this restriction is prohibited by law;
  • resell, sublicense, rent, lease, or otherwise make the Service available to third parties, or provide the Service as a bureau or managed offering, without our written consent;
  • scrape, crawl, or harvest data from the Service, or use bots or automated means against it beyond the functionality we provide;
  • probe, overload, disrupt, or impair the Service or its infrastructure, or attempt to gain unauthorised access to any account, engine, system or data;
  • circumvent, disable, or interfere with any usage limit, plan gating, security feature, or access control.

08Your compliance & tax obligations

You are the regulated party in respect of your own trading activity. The Service does not perform KYC on your counterparties on your behalf, and SQARME is not a party to your trades.

  • You are responsible for completing and maintaining your own Binance KYC and merchant verification.
  • You are responsible for your own tax compliance, including income tax and ITR filings, GST where applicable, and maintaining your own records. P&L and report features in the Service are provided for your convenience only and are not tax advice or a substitute for a qualified professional.
  • You are responsible for your own anti-money-laundering and counter-terrorist-financing obligations, including any reporting duties to the Financial Intelligence Unit (FIU-IND) or other authorities that apply to you.

09Third-party services

The Service relies on third-party services that we do not own or control, including Binance (trading and counterparty data), Telegram (notifications and admin approvals), Google (receipt OCR via the master service, and web fonts), and the underlying UPI, IMPS, bank-transfer and eRupee payment rails.

Your use of those services is subject to their own terms and policies. Their availability, performance, fees, decisions and changes are outside our control, and we are not responsible for them. If a third-party service is unavailable, changes its behaviour, or restricts your access, parts of the Service may be affected. A list of the third parties we rely on is in our Privacy Policy.

10Service availability

We provide the Service on a commercially reasonable-effort basis. We do not guarantee that the Service will be uninterrupted, error-free, or available at any particular time, and we do not commit to any specific uptime percentage or service-level agreement unless separately agreed in writing.

We may carry out maintenance, updates and changes, and we may add, modify, suspend or discontinue features at any time. We will use reasonable efforts to communicate significant planned interruptions. How we communicate status and incidents is described on our Status page.

11Disclaimers

To the maximum extent permitted by applicable law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.

SQARME CMD automates actions on your Binance account. Automated trading, repricing and order-handling carry inherent risk, including the risk of unintended trades, mispricing, missed actions, market movement, technical faults, and loss. You also bear counterparty risk in every P2P trade. We do not warrant any trading outcome, profit, price, or result. Please read the Risk Disclaimer in full before using automation features.

12Limitation of liability

To the maximum extent permitted by applicable law:

  • SQARME will not be liable for any trading losses, lost profits, lost revenue, lost opportunity, loss of data, loss of goodwill, or any indirect, incidental, special, consequential, exemplary or punitive damages, arising out of or relating to the Service, even if advised of the possibility of such damages;
  • SQARME will not be liable for losses caused by your acts or omissions, your counterparties, your Binance account, your credentials, or any third-party service;
  • SQARME's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees actually paid by you to SQARME for the Service in the three (3) months immediately preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

13Indemnity

You agree to indemnify, defend and hold harmless SQARME PRIVATE LIMITED and its directors, officers, employees and agents from and against any claims, demands, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of or relating to:

  • your use or misuse of the Service;
  • your trades, transactions and dealings with your counterparties;
  • your breach of these Terms or of any applicable law, regulation, or third-party terms (including the Binance Terms of Use);
  • your tax, KYC, AML or other compliance obligations.

14Suspension & termination

We may suspend or terminate your access to the Service, in whole or in part, with or without notice, if: you breach these Terms; you fail to pay fees when due; we reasonably suspect unlawful, fraudulent or abusive use; we are required to do so by law or by a third-party service we rely on; or to protect the security or integrity of the Service or other users.

You may stop using the Service and cancel your subscription at any time as described in our Refund & Cancellation Policy.

On termination or closure of your account, your right to use the Service ends. We will handle your data after closure as described in our Privacy Policy. Sections of these Terms that by their nature should survive termination — including fees due, disclaimers, limitation of liability, indemnity, intellectual property, and governing law — will survive.

15Intellectual property

The Service, including its software, design, text, graphics, the SQARME and SQARME CMD names and marks, and all related intellectual property, is owned by SQARME PRIVATE LIMITED or its licensors and is protected by applicable laws. These Terms do not transfer any ownership to you.

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own business use during your subscription. You retain ownership of your own data and content; nothing here grants us ownership of your trading data, your funds or your assets.

15.1 Screenshots, recordings and screen captures

Never publish anything showing another person's data. The Service displays personal and payment information belonging to your counterparties — names, UPI IDs, bank and account details, identity numbers, order history and chat messages. You must not publish, post, broadcast or otherwise share any screenshot, screen recording, video or other capture of the Service, or of the SQARME CMD application, in which any such counterparty information is visible or can be recovered. This applies to every plan, including Enterprise, applies whether or not you attempted to redact it, and survives termination of your subscription.

Promotional and public use needs our written permission. You may not use the Service's screens, interface, content or documentation, or the SQARME and SQARME CMD names and marks, for promotional, marketing, commercial, competitive, public-demonstration or third-party training purposes without our prior written permission. This includes social media, video content, advertising, press, review or comparison material, and any use by or on behalf of a competing product.

What you may do without asking. You may make captures for your own internal purposes — your own records, your own staff, your accountant or other professional advisers, and material you send to SQARME support to report a problem — provided you keep them confidential and, where they contain counterparty information, share them only with those who need to see them.

How to ask. Write to copyrights@sqarme.com describing what you want to use and where it will appear. Requests from Enterprise customers are handled on a priority basis and may be covered by a standing written approval. Any permission we grant is limited to the use described in it, may be withdrawn, and transfers no ownership.

16Changes to these Terms

We may update these Terms from time to time, for example to reflect changes in the Service, our practices, or applicable law. When we make changes, we will update the "Last updated" date below. Where changes are material, we will take reasonable steps to notify you.

Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the changes, you should stop using the Service and may cancel your subscription.

These Terms are effective as of 16 July 2026.

17Governing law & jurisdiction

These Terms and any dispute or claim arising out of or in connection with them or the Service are governed by and construed in accordance with the laws of India. Subject to applicable law, the courts at New Delhi, India will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service.
